You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

Account Usage and License Restrictions

Each license seat is intended for use by a single individual student throughout their enrollment period. You may not:

  • Transfer or reassign student accounts between different individuals
  • Modify existing student account details to represent a different student
  • Reuse student accounts from previous academic terms or cohorts for new students
  • Share student accounts between multiple individuals

Each student must have their own unique account and license seat. Violation of these restrictions may result in immediate termination of service access.

Educational Records, FERPA, and HIPAA

The Service is education technology for schools and students. It is not designed or intended as a HIPAA patient-data system. The Company is not a HIPAA covered entity and does not act as a business associate for the treatment, payment, or health-care operations of third-party patients (patients of hospitals or other providers). You may not use the Service for that purpose unless the Company has signed a written Business Associate Agreement that expressly covers it.

You must not upload, store, or cause the Service to process Protected Health Information of third-party patients, including in clinical logs, skills-checkoff videos, notes, attachments, or AI inputs. The Company uses notices and automated checks (deterministic and AI-assisted) to help keep that data out of the Service. Those checks are not a guarantee. You and Your users remain responsible for what is submitted. Introducing third-party patient PHI is a material breach of these Terms. The Company may refuse, delete, or suspend access to data it reasonably believes is third-party patient PHI.

Students and institutions may upload self-submitted eligibility documents about the student (for example immunization records, physicals, or certifications) so the school can verify program or clinical-placement requirements. Those files may contain the student's own health information. They must concern the student, not third-party patients, and they are collected for educational purposes. When an educational institution maintains them in the Service, the Company treats them as education records under the Family Educational Rights and Privacy Act ("FERPA") and processes them as a school official / service provider for that institution—not as HIPAA-covered records of patients.

You will indemnify, defend, and hold harmless the Company from any claim, investigation, penalty, or cost (including reasonable attorneys' fees) arising out of third-party patient PHI that You or Your users introduce into the Service, or arising out of use of the Service as a HIPAA patient-care system without a written BAA that expressly covers that use.

Institutional Licensing

This section describes how educational institutions purchase and license HealthTasks products. Current plan list prices and product features are published at healthtasks.ai/pricing. Invoice-based seat licenses are the default method for institutional plans. A recurring subscription is available upon request. The applicable checkout, accepted order, or invoice states the selected billing method, quantity, price, service term, and payment terms.

Products and Billing Terms

HealthTasks offers the following institutional products, each with its own billing term:

  • Plans (Tracking, Vision, and Intelligence): student-seat licenses priced per student. Invoice-based seat licenses are the default; recurring subscriptions are available upon request, as described below.
  • Agent usage: a monthly subscription that renews monthly.
  • Enterprise add-on (such as SSO and SCIM): a yearly auto-renewing subscription, typically purchased alongside a plan. The accepted order states the applicable price and payment terms.
  • Voice simulations: one-time purchases. Each purchase is good for one simulation, expiring 1 year from the date of purchase.

How Institutions Purchase

Institutional plans use invoice-based seat licenses by default. Institutions that can keep a payment card on file and prefer automatic renewal may request a subscription. Invoice-based orders state the seat quantity, price, payment due date, and other applicable order terms. Subscription checkout states the billing term, renewal date, quantity, and price. Other products may use a different purchasing flow, as stated in the applicable order or checkout.

Payment methods and any purchase-order requirements are stated on the invoice or accepted order. Access and service dates are governed by that order.

Student Seats and Included Staff

For Tracking, Vision, and Intelligence plans, institutions purchase student license seats for the selected plan. The seat term depends on the billing method described below, subject to the Account Usage and License Restrictions above.

Faculty, educator, coordinator, and institutional administrator accounts needed to operate the Service for Your institution are included with a plan license and do not count against student seat quantity, unless a written order expressly states otherwise.

Seat Activation and Service Terms

Student access and seat expiration depend on the billing method selected for the plan, as described below. Agent usage subscriptions renew monthly. Enterprise subscriptions renew annually. Each voice simulation purchase is good for one simulation, expiring 1 year from the date of purchase.

Upgrades, Downgrades, and Cancellation

Renewal, cancellation, and plan changes follow the applicable order or billing method. Enterprise is a yearly auto-renewing subscription; cancellation follows the terms in the accepted order. Any recurring billing for Agent usage will be described in the applicable order or checkout.

  • Subscription plan cancellation must be completed before the shared renewal date to prevent the next subscription term. Access continues through the current billing term.
  • Invoice-based seats do not renew centrally. Student access ends after its 365-day seat term unless another purchased seat license is assigned or applied as an extension.
  • Invoice-based plan upgrades incur a one-time prorated charge to move all current invoice-based licenses to the new plan. This applies to all current licenses, including unassigned licenses in the seat pool.
  • Invoice-based plan downgrades do not result in a refund or credit for the price difference. The lower plan applies immediately to all current invoice-based licenses. If the institution later upgrades those licenses again, a new one-time prorated upcharge applies to all current licenses.
  • Plan changes or additional invoice-based seats are documented through an updated or new accepted order and invoice.
  • Recurring Agent usage: where an Agent usage order provides for recurring billing, cancellation and changes follow the terms stated in that order or checkout. Contact support@healthtasks.ai if no self-service cancellation method is available.

Voice simulation purchases are one-time and are not subject to upgrade, downgrade, or subscription cancellation rules; unused purchases expire 1 year from the date of purchase.

Subscription and Invoice Billing Methods

Invoice-based seat licenses are the default billing method for institutional plans. A recurring subscription is available upon request. Institutions that can keep a payment card on file and prefer automatic renewals may find subscription billing a better fit. Institutions that rely on purchase orders for each invoice may find invoice-based seats a better fit:

  • Recurring subscription: Available upon request. One shared billing term and renewal date applies to the institution's plan. Activating a student assigns and locks a seat through the end of the current billing term. Archiving the student ends their active status but does not release the seat for reassignment during that term. At renewal, active students' seats renew automatically; seats for archived students are not renewed and return to the available pool for another student. Students provisioned after the term begins may receive less than 365 days before the next renewal date.
  • Invoice-based seat licenses: The default method. Purchased seats remain in an available pool until assigned to provision a student or applied to extend a student's access. Assigning or applying a seat starts exactly 365 days of access for that student, after which access expires automatically. There is no shared renewal date. Another purchased seat license can continue a student's access for another 365 days.

The selected method and its applicable price, quantity, service terms, and payment terms are stated in the subscription checkout or accepted order and invoice.

Volume discount basis. Invoice-based seat licenses are eligible for relationship-based volume tiers. Eligibility may reflect historical aggregate invoice payments over time, which may allow an institution to qualify for a higher discount tier as invoice payments accumulate. Subscription volume tiers are based only on the current size of the seat pool; historical invoice payments do not increase the subscription tier. Final discount eligibility and pricing are confirmed in the accepted quote or order.

Refund Policy

All payments made to the Company, including but not limited to invoiced license fees, recurring fees, one-time purchase fees (including voice simulations), setup fees, implementation fees, service fees, and any other charges, are non‑refundable, except as required by applicable law. This applies regardless of usage or dissatisfaction with the Service.

Institutional plan access continues through the applicable subscription billing term or assigned invoice-based seat term. No partial or prorated refunds will be provided for unused time or features if a plan order ends early or seats are reduced.

For institution accounts billed by seat, We may, at Our sole discretion and on a case‑by‑case basis, issue a courtesy seat credit to the institution's account (for example, following an early student dropout). Any such credit is a courtesy, not a cash refund, does not require Us to allow mid-term seat reassignment as a matter of right, and does not create an obligation to issue credits or refunds in any other case.

Certain exceptions may be required by applicable law. Where such laws grant refund rights that cannot be waived, We will comply with those obligations. Apart from those cases, all sales are final.

Intellectual Property

The Service and its original content, features and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, and other laws of both the Country and foreign countries. Our trade dress may not be used in connection with any product or service without the prior written consent of the Company.

Confidentiality

You agree not to disclose information you obtain from us and or from our clients, advertisers, suppliers and forum members. All information submitted to by an end-user customer pursuant to a Program is proprietary information of HealthTasks. Such customer information is confidential and may not be disclosed. Publisher agrees not to reproduce, disseminate, sell, distribute or commercially exploit any such proprietary information in any manner.

Indemnification

You agree to indemnify and hold the Company and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of Your breach of these Terms and Conditions or Your use of the Service, including, but not limited to, any data transmitted through the Service, any data stored on the Service, or any data accessed through the Service, and including without limitation third-party patient PHI submitted in violation of the Educational Records, FERPA, and HIPAA section above.

Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

AI Model Updates and Changes

We may update, modify, or discontinue AI models and algorithms at any time without notice. Such changes may affect the performance, accuracy, or availability of AI services. We are not responsible for any impacts resulting from these changes.

Data Privacy and AI

AI features may process data through our paid-tier providers—Google Gemini API (paid), Google Vertex AI (paid), OpenAI API (paid), xAI Grok API (paid), and Cloudflare-hosted open-source embedding models—to generate responses, recommendations, or embeddings. We do not use consumer or unpaid free-tier model services. Student videos and compliance documents may be processed by paid Google Gemini, Vertex AI, and/or OpenAI under applicable BAA coverage. Details are in our Privacy Policy (Artificial Intelligence and Data Privacy). Applicable data protection laws and contractual safeguards apply.

HealthTasks includes a built-in AI scanner that reviews clinical logs and related clinical data for HIPAA Safe Harbor identifiers (such as patient names, dates of birth, medical record numbers, and other unique identifiers described in our Privacy Policy). Students cannot save or submit that data until flagged identifiers are cleared, preventing PHI and PII from entering our database.

By using our AI services, you acknowledge that you have read, understood, and agree to these terms. If you do not agree, do not use AI-powered features of our Service.
